ARTICLE III Meetings
SECTION 1. General Club Meetings
Meetings of the club shall be held at least quarterly, at such date, time and place as may be designated by the Board. Written notice of each such meeting shall be mailed (electronic or post) by the Secretary at least fourteen (14) days prior to the date of the meeting. The quorum for such meetings shall be 20 percent (20%) of the members in good standing. In absence of a quorum, a majority vote by the Board will suffice.
SECTION 2. Special Club Meetings
Special club meetings may be called by the President, or by a majority vote of the members of the Board; or by the Secretary upon receipt of a petition signed by at least five members of the club who are in good standing. Written notice of each such meeting shall be mailed (electronic or post) by the Secretary at least fourteen (14) days prior to the date of the meeting, and said notice shall state the purpose of that meeting.
SECTION 3. Board Meetings
Meetings of the Board of Directors shall be held at least two (2) times a year, at such date, time and place as may be designated by the Board. Notices shall be forwarded as outlined in Section 2 above. The quorum for such a meeting shall be a majority of the Board.
SECTION 4. Special Board Meetings
Special meetings of the Board shall be called at the President's request or the request of one or more of the Board members. Notices shall be forwarded as outlined in Section 2 above. The quorum for such a meeting shall be a majority of the Board.
SECTION 5. Annual Meeting
The annual meeting shall be held once a year, in February, as designated by the Board, and all members shall be advised of the date, time and place by the Secretary at least thirty (30) days in advance. A quorum for such meetings shall be 20 percent (20%) of members in good standing. In absence of a quorum, a majority vote by the Board will suffice.
SECTION 6. Club Meeting Procedure
Except as otherwise noted herein, Club meetings shall be conducted in accordance with Roberts Rules of Order, Revised latest edition.
SECTION 7. Board Business by Mail
The Board may conduct its business by mail, email, or telephone through the Secretary.
