ARTICLE IV Officers and Board
SECTION 1. Board of Directors
The Board shall be comprised of the President, Vice President, Secretary, Treasurer and 3-5 Directors, one of whom shall be the past President (except with a club start-up) and one of whom shall be the ASFA Delegate; all of whom shall be members in good standing. The offices of Secretary and Treasurer may be filled by the same person, who will be entitled to one vote on Board matters. All officers' terms shall run one year, and they shall serve until their respective successors are elected. Any Officer or Director may be elected to successive terms. General management of the Clubs affairs shall be entrusted to the Board.
SECTION 2. Vacancies
Any vacancies occurring on the Board during a term of office may be filled by majority vote of the remaining Board at its first regular meeting following the creation of such vacancy, or at a Special Board meeting called for that purpose.
SECTION 3. Duties of Officers
- The President shall preside at all meetings, establish the time and place for meetings, shall be a member of all committees and subcommittees, and shall ensure that Club business is handled properly.
- The Vice President shall take over all presidential duties in the absence of the President.
- The Secretary shall record and file all organizational correspondence, the minutes of all meetings, keep a complete roster of all members, have all membership applications on file, and send out copies of minutes and all notices.
- The Treasurer shall be custodian of all funds; pay out all board approved expenses of the Club, and keep a complete financial record of income and expenditures. The Treasurers books shall at all times be open to inspection by the Board. The Treasurer shall report at every meeting the condition of the Clubs finances, and at the annual meeting shall render an account of all moneys received an expended during the previous fiscal year.
